# Terms & Conditions

## 1. PREAMBLE

### 1.1 Purpose and Scope

These Terms and Conditions (“Terms”) govern access to and use of the proprietary trading evaluation and funded-account program (the “Program”) made available through the website located at usefantasy.xyz and any associated dashboards, applications, or interfaces (collectively, the “Platform”). The Platform allows eligible individuals to purchase a simulated trading evaluation and, upon satisfying the applicable performance criteria, to be allocated a funded account for the purpose of receiving performance-based payouts, all as further described in the Prop Account Rulebook referenced in Section 3 below.

These Terms constitute a legally binding agreement between any individual or entity accessing or using the Platform (each, a “User” or “Trader”) and Felix Labs, INC a corporation organized under the laws of the State of Delaware, with a registered address at 131 Continental Drive, Newark, DE, USA, 19713 or any successor entity that assumes the Company’s obligations under these Terms (“Fantasy”, “Company”, “we”, “us” or “our”).

### 1.2 Acceptance of Terms

By creating an account, purchasing an evaluation, connecting a wallet, or otherwise accessing or using any part of the Platform, the User affirms that they have read, understood, and agreed to be bound by these Terms, including any amendments made pursuant to Section 13, and represents and warrants that they: (a) have full legal capacity to enter into this agreement; (b) are not prohibited from using the Platform under any Applicable Laws; (c) meet the eligibility criteria set out in Section 1.5 and Section 7, including that they are not a Sanctioned Person, Restricted Person, or resident of a Restricted Jurisdiction; and (d) understand and accept the risks described in Section 10 (Risk Disclosure). If a User does not agree with these Terms or cannot make the foregoing representations, they must not access or use the Platform.

Acceptance of these Terms is deemed to occur when a User does any of the following:

* Registers an account on the Platform;
* Purchases an evaluation or otherwise pays any fee to the Company;
* Connects a digital wallet to the Platform for the purpose of receiving payouts; or
* Otherwise engages with any service offered by the Company or its affiliates through the Platform.

### 1.3 Nature of the Program

THE PROGRAM DOES NOT INVOLVE THE DEPOSIT, CUSTODY, OR TRADING OF THE USER’S OWN CAPITAL ON ANY EXCHANGE OR TRADING VENUE. All accounts made available through the Platform, whether in the evaluation phase or the funded phase, are simulated or internally-allocated accounts maintained by, and at all times remaining the property of, the Company. Prices, executions, and market data displayed to the User are derived from live market feeds (including Hyperliquid) for the purpose of realistically simulating trading conditions, but no order placed by a User results in an actual trade being executed on Hyperliquid or any other venue on the Company’s behalf unless the Company, in its sole discretion, elects to hedge or mirror positions in the underlying market. Users are never the counterparty to, and never acquire any ownership, security, or other interest in, any underlying digital asset, equity, commodity, index, or derivative referenced by the Platform.

### 1.4 Restricted Persons and Jurisdictions

THE PLATFORM IS NOT OFFERED TO, AND MAY NOT BE ACCESSED OR USED BY, ANY PERSON OR ENTITY WHO RESIDES IN, IS A CITIZEN OF, IS LOCATED IN, IS INCORPORATED IN, OR HAS A REGISTERED OFFICE OR PRINCIPAL PLACE OF BUSINESS IN ANY RESTRICTED JURISDICTION, OR WHO IS A SANCTIONED PERSON (COLLECTIVELY, “RESTRICTED PERSONS”). RESTRICTED JURISDICTIONS INCLUDE, WITHOUT LIMITATION, THE CRIMEA REGION, CUBA, IRAN, NORTH KOREA, SYRIA, RUSSIA, AND ANY OTHER COUNTRY OR REGION SUBJECT TO COMPREHENSIVE SANCTIONS ADMINISTERED BY THE U.S. DEPARTMENT OF THE TREASURY’S OFFICE OF FOREIGN ASSETS CONTROL (“OFAC”), THE UNITED NATIONS, THE UNITED KINGDOM, OR THE EUROPEAN UNION, AS WELL AS ANY JURISDICTION IN WHICH PARTICIPATION IN A PROGRAM OF THIS NATURE IS PROHIBITED BY APPLICABLE LAW. USE OF A VIRTUAL PRIVATE NETWORK (“VPN”), PROXY, OR ANY OTHER MEANS TO CIRCUMVENT GEOGRAPHIC OR IDENTITY-BASED RESTRICTIONS IMPLEMENTED BY THE COMPANY IS STRICTLY PROHIBITED AND CONSTITUTES A MATERIAL BREACH OF THESE TERMS.

### 1.5 Knowledgeable and Independent Use

The Platform is intended only for Users who possess sufficient knowledge, experience, and understanding of leveraged derivatives trading, digital assets, and the risks associated with each. By accessing or using the Platform, the User represents and warrants that they understand and can evaluate the risks described in Section 10, including the risk of losing the entirety of any evaluation fee, the absence of any guarantee of passing an evaluation or of profitability on a funded account, and the fact that all trading decisions are made independently by the User and at the User’s sole discretion.

### 1.6 No Financial, Legal, or Tax Advice

The Company does not act as the User’s financial advisor, investment manager, broker, or commodity trading advisor. All information provided through the Platform, including the Prop Account Rulebook, is for informational purposes only and must not be construed as investment, legal, or tax advice. Users are solely responsible for their own trading decisions and for complying with all tax, legal, and regulatory obligations applicable to them.

### 1.7 Amendments

The Company reserves the right to amend, modify, or update these Terms and the Program at any time, in its sole discretion, as further described in Section 13 (Amendments to These Terms).

## 3. THE PROGRAM

### 3.1 Two-Stage Structure

The Program consists of an evaluation stage and a funded stage, each governed by the risk parameters, profit targets, leverage limits, and payout mechanics set out in the Rulebook, which is incorporated into these Terms by reference. In the event of any update to the Rulebook, the version in effect at the time of the relevant Account’s creation shall apply to that Account unless the Company expressly states that an update applies retroactively for risk or compliance reasons.

### 3.2 Evaluation Accounts

Upon payment of the applicable, non-refundable Evaluation fee, a User is granted an Evaluation Account with a Starting Balance corresponding to the account size purchased. To pass the Evaluation Account, the User must reach the Profit Target for that account size without breaching either applicable Equity Limit. There is no time limit and no minimum number of trading days required to pass an Evaluation Account, and a User may pass in a single trade.

### 3.3 Funded Accounts

Upon passing an Evaluation Account, the User is allocated a Funded Account with the same Starting Balance. Funded Accounts carry no Profit Target but remain subject to the same Maximum Daily Loss and Maximum Drawdown Equity Limits that applied during the evaluation stage. Funded Account holders may request Payouts in accordance with Section 6.

### 3.4 Breach

A Breach occurs automatically and without prior notice whenever the Equity of an Account reaches or falls below an applicable Equity Limit, whether as a result of closed losses or floating, unrealised losses on open positions. Upon a Breach: (a) all open positions on the affected Account are deemed closed; (b) the Account is permanently disabled; (c) no further trading is possible on that Account; (d) no Payout is available in respect of that Account; and (e) any accrued but unrealised profit on the Account is forfeited. Breaches are final and are not subject to reset, refund, exception, or appeal, regardless of the cause of the Breach, including technical errors, latency, or price feed anomalies not attributable to the Company’s gross negligence or wilful misconduct.

### 3.5 Account Limits

A User may hold multiple Funded Accounts simultaneously, subject to the aggregate funded balance limit described in the Rulebook. The Company may adjust this limit at its discretion upon reasonable notice.

### 3.6 No Ownership Interest

USERS DO NOT OWN, AND ACQUIRE NO PROPERTY, SECURITY, OR OTHER INTEREST IN, ANY ACCOUNT, ANY CAPITAL ALLOCATED TO AN ACCOUNT, OR ANY UNDERLYING ASSET REFERENCED BY AN ACCOUNT. A USER’S SOLE ENTITLEMENT UNDER THESE TERMS IS THE CONTRACTUAL RIGHT TO RECEIVE PAYOUTS CALCULATED IN ACCORDANCE WITH SECTION 6, SUBJECT TO COMPLIANCE WITH THESE TERMS AND THE RULEBOOK.

## 4. ELIGIBILITY

By registering for or using the Platform, the User represents and warrants that they:

* Are at least 18 years of age or the age of majority in their jurisdiction, whichever is greater;
* Have the legal capacity and authority to enter into a binding agreement under these Terms;
* Are not a Restricted Person and are not located in, organized under the laws of, or ordinarily resident in a Restricted Jurisdiction;
* Are not listed on, and are not owned or controlled by a person listed on, any sanctions list maintained by OFAC, the United Nations, the United Kingdom, the European Union, or any other competent authority;
* Will use the Platform solely on their own behalf, using only their own identity, and will not create, control, or benefit from more than one account except as expressly permitted under Section 3.5; and
* Will comply with all Applicable Laws in connection with their use of the Platform.

The Company reserves the right to refuse service, suspend, or terminate access to any User who does not meet, or ceases to meet, these eligibility criteria.

## 5. FEES AND PAYMENTS

### 5.1 Evaluation Fees

Evaluation fees are set out on the Platform and in the Rulebook, vary by account size, and are payable in advance of the User being granted access to an Evaluation Account. Evaluation fees are earned by the Company upon payment and are non-refundable under all circumstances, including where the User fails to pass the Evaluation Account, breaches the Account, or chooses not to continue using the Platform, except as required by Applicable Law.

### 5.2 Payment Methods

The Company may accept payment for Evaluation fees via supported digital assets, card payment processors, or other payment methods made available on the Platform from time to time. Users are responsible for any fees, foreign exchange charges, or network fees charged by their payment provider or wallet.

### 5.3 Fee Changes

The Company reserves the right to introduce, adjust, or remove Evaluation fees and account-size offerings at its sole discretion. Any changes will apply prospectively to new Evaluation purchases and will not affect Accounts already purchased.

### 5.4 Billing Disputes

A User who believes they have been charged incorrectly must notify the Company within thirty (30) days of the disputed transaction. Failure to notify the Company within this period constitutes a waiver of any claim relating to the disputed charge.

### 5.5 Taxes

Users are solely responsible for determining and satisfying any tax obligations arising from their participation in the Program, including in respect of any Payouts received. The Company does not withhold or report taxes on a User’s behalf except where required to do so by Applicable Law.

### 5.6 Payment Settlement by Odeonpay ALE S.R.L (“Paysagi”)

Certain payments on this website may be settled via Odeonpay ALE S.R.L. (“Paysagi”), acting solely as Merchant of Record for transaction settlement purposes. Paysagi is not the supplier of the goods or services. Where applicable, payment settlement is subject to Paysagi’s Terms of Use, available at [Paysagi Terms of Use](https://paysagi.com/terms-of-use/), which are presented to customers during the payment process.

## 6. PAYOUTS

### 6.1 Profit Split

Subject to the Rulebook, a User holding a Funded Account is entitled to the Profit Split percentage of all profit generated on that Account, calculated as (Current Balance − Starting Balance) × the applicable Profit Split percentage. The Company retains the remaining percentage. The Profit Split in effect at the time of this document’s publication is set out in the Rulebook and may be updated by the Company from time to time for future Payout periods.

### 6.2 Payout Requests

Payout requests are processed in accordance with the processing times, minimum amounts, and delivery mechanics set out in the Rulebook. All positions on the relevant Account must be closed prior to a Payout request, and Payouts represent a full sweep of eligible profit rather than a partial withdrawal, unless otherwise stated in the Rulebook. Payouts are not available on Evaluation Accounts or on Accounts that have been Breached.

### 6.3 Delivery

Payouts are delivered on-chain, in the digital asset specified in the Rulebook, to the wallet address designated by the User. The User is solely responsible for providing an accurate wallet address and for the security of that wallet. The Company bears no liability for Payouts sent to an incorrect address provided by the User, or for the User’s inability to access a Payout due to loss of wallet credentials.

### 6.4 Right to Withhold

Notwithstanding anything to the contrary in the Rulebook, the Company may withhold, delay, reduce, or deny a Payout, and may claw back a previously issued Payout, where the Company reasonably determines that: (a) the underlying trading activity involved Prohibited Conduct; (b) the request appears fraudulent, duplicative, or erroneous; (c) applicable KYC has not been completed or has failed; or (d) withholding is required by Applicable Law, including sanctions or anti-money laundering obligations.

## 7. RESTRICTED PERSONS AND ACCESS CONTROLS

The Company may implement geo-blocking, identity screening, and other technical or manual controls to prevent Restricted Persons from accessing the Program. If, for any reason, including the use of a VPN or other circumvention technique, such controls fail to prevent access by a Restricted Person, that User remains strictly prohibited from participating in the Program, and any Account opened in violation of this Section 7 is void ab initio, any fees paid are forfeited, and any Payout otherwise due is cancelled.

## 8. IDENTITY VERIFICATION (KYC)

KYC is not required to register on the Platform or to purchase an Evaluation. A User may begin trading on an Evaluation Account immediately following purchase. KYC, including submission of a valid government-issued identity document and a live selfie for identity matching, is required before a User may access a Funded Account or receive a Payout. The Company recommends completing KYC promptly to avoid delays. The Company may use third-party KYC providers to perform verification and may decline to grant Funded Account access, or may suspend or terminate an existing Funded Account, where KYC cannot be satisfactorily completed, where a User’s submitted information is false or misleading, or where the User is identified as a Restricted Person.

## 9. USER OBLIGATIONS AND PROHIBITED CONDUCT

### 9.1 General Obligations

Users shall: (a) provide accurate, current, and complete information when registering or completing KYC; (b) use the Platform only for lawful purposes and in accordance with these Terms and the Rulebook; and (c) refrain from any activity that interferes with the integrity, security, or performance of the Platform.

### 9.2 Trading Conduct That Is Not Restricted

Consistent with the Rulebook, the Company does not impose a minimum number of trading days, a time limit to pass an Evaluation Account, a consistency rule, a profit cap, or restrictions on news trading, weekend or overnight holding, the use of automated trading systems on a User’s own Account, or the trading strategy employed, provided always that the User remains within the applicable Equity Limits and does not engage in Prohibited Conduct.

### 9.3 Prohibited Conduct and Anti-Farming Rules

The following conduct is strictly prohibited and will result in immediate, permanent termination of the applicable Account(s), forfeiture of any accrued profit, cancellation of any pending Payout, and may result in a permanent ban from the Platform and, where applicable, referral to law enforcement:

* Exploitation of platform bugs or glitches: intentionally exploiting technical errors, latency, price feed anomalies, or Third-Party Trading Venue infrastructure issues for profit.
* Account sharing or selling: each Account is tied to a single verified individual; transferring, selling, or sharing Account access or credentials is prohibited.
* Identity fraud: providing false identity information during registration or KYC, including use of another person’s documents or the creation of multiple identities.
* Opposite hedging across Accounts: opening opposing positions on the same instrument across two or more Accounts (whether held by the same User or in coordination with another User) to guarantee that one Account passes or profits while another breaches.
* Third-party coordination: coordinating trades with other Users or third parties to create offsetting positions or to exploit the Equity Limits or Payout mechanics through collusion.
* Account cycling: repeatedly purchasing Evaluation Accounts to take maximum-risk, binary bets, treating the Evaluation fee as a speculative wager rather than as a genuine skill assessment.
* Latency arbitrage and tick sniping: exploiting delays between a price feed and the execution of the underlying Third-Party Trading Venue to capture effectively risk-free profit.
* Simulated or wash trading: executing trades with oneself or a coordinated party where no genuine market risk is taken.

The Company employs automated monitoring, including correlation analysis across Accounts, IP and device fingerprinting, trade pattern analysis, and on-chain transaction analysis, to detect the conduct described above. Determinations made by the Company under this Section 9.3 are final and are not subject to appeal.

### 9.4 Additional Prohibited Activities

In addition to Section 9.3, Users shall not: engage in fraudulent, deceptive, or manipulative conduct; attempt unauthorised access to the Platform or its systems; impersonate the Company or any other person; introduce malicious code; attempt to circumvent fees; deploy bots or scripts to disrupt the Platform’s operation (as distinct from automated trading permitted under Section 9.2); engage in any activity that violates Applicable Laws, including money laundering, terrorist financing, or tax evasion; harvest data from other Users; infringe the Company’s intellectual property; or engage in conduct that, in the Company’s reasonable judgment, poses a risk of legal liability, regulatory exposure, or reputational harm to the Company.

## 10. RISK DISCLOSURE

By purchasing an Evaluation or otherwise participating in the Program, the User acknowledges and accepts the following:

* Most Users do not pass. The Evaluation is designed to be a rigorous test of trading skill. There is no guarantee that any User will pass an Evaluation Account or receive a Funded Account.
* Evaluation fees are non-refundable. If a User fails or Breaches an Evaluation Account, the Evaluation fee is forfeited in its entirety.
* Funded Accounts can be lost at any time. A Funded Account remains subject to the same Equity Limits as during the evaluation stage and may be Breached and permanently terminated at any time, including after a period of profitability.
* Past performance is not indicative of future results. Passing an Evaluation, or profitability on a Funded Account, does not guarantee future profitability.
* Markets are volatile. Crypto, equity, commodity, index, and pre-IPO markets referenced by the Platform can move rapidly and unpredictably, and losses (whether to a User’s Evaluation fee or accrued but unpaid profit) can be sudden and severe.
* Leverage amplifies risk. Higher leverage magnifies both gains and losses relative to Starting Balance and increases the likelihood of a Breach.
* Users are not trading their own capital. As set out in Section 3.6, Users do not own any Account or any capital allocated to it and are eligible only for performance-based Payouts, calculated and paid at the Company’s discretion in accordance with these Terms and the Rulebook.
* Data and price feed risk. Prices, executions, and other data displayed on the Platform are sourced from third-party feeds, including the Third-Party Trading Venue, which may be delayed, inaccurate, or interrupted, and which may cause a Breach to be triggered based on data that a User disputes.
* Technology risk. The Platform may experience downtime, bugs, or other technical failures that prevent a User from placing, modifying, or closing an order at a desired time, and the Company disclaims liability for any resulting loss except to the extent caused by the Company’s gross negligence or wilful misconduct.
* Rules may be modified. The Rulebook may be updated with reasonable notice. Active Funded Accounts are governed by the version of the Rulebook in effect at the time of Account activation unless the Company states otherwise for risk or compliance reasons.

This is a sensitive commercial disclosure and is not a substitute for the User’s own independent assessment of the risks described above. Prospective Users who are not comfortable bearing the risk of a total loss of their Evaluation fee, or of losing access to a Funded Account without further recourse, should not participate in the Program.

## 11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, DATA, AND FUNCTIONALITY MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY PRICE FEED, EXECUTION, OR EQUITY CALCULATION DISPLAYED THROUGH THE PLATFORM WILL BE ACCURATE OR FREE OF DELAY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE COMPANY, ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS (COLLECTIVELY, THE “INDEMNIFIED PARTIES”) ARISING OUT OF OR RELATING TO THESE TERMS OR THE USER’S USE OF THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100), OR (B) THE TOTAL EVALUATION FEES ACTUALLY PAID BY THE USER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF ANTICIPATED PAYOUTS, OR LOSS OF DATA, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FOR THE AVOIDANCE OF DOUBT, A PAYOUT IS A CONTINGENT, PERFORMANCE-BASED PAYMENT AND NOT A DEBT OWED BY THE COMPANY, AND NO USER SHALL BE ENTITLED TO CLAIM LOST OR ANTICIPATED PAYOUTS ON A BREACHED OR TERMINATED ACCOUNT AS DAMAGES.

The foregoing limitations do not affect any liability that cannot be excluded or limited under Applicable Law, and do not limit the User’s indemnification obligations under Section 12.

## 12. INDEMNIFICATION

The User shall indemnify, defend, and hold harmless the Indemnified Parties from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) the User’s use of, or inability to use, the Platform; (b) the User’s breach of these Terms or the Rulebook; (c) any Prohibited Conduct engaged in by the User; (d) the User’s violation of any Applicable Law; (e) any dispute between the User and any third party, including any other User; or (f) any inaccurate information provided by the User during registration or KYC. Any cause of action or claim the User may have arising out of or relating to these Terms must be commenced within one (1) year after the cause of action accrues, or it shall be permanently barred.

## 13. AMENDMENTS TO THESE TERMS

The Company reserves the right to amend, modify, update, or replace these Terms and the Rulebook at any time to reflect changes in business practices, legal or regulatory requirements, or other relevant factors. Material amendments will be notified to Users through notices posted on the Platform, email notification (if applicable), or updates within the User Interface. Continued use of the Platform following the publication of amended Terms constitutes acceptance of the amended Terms. Amendments will not apply retroactively to Accounts or transactions completed prior to the effective date of the amendment, except where an amendment is required for risk, compliance, or security reasons and the Company states that it applies to existing Accounts.

## 14. TERMINATION AND SUSPENSION

### 14.1 Termination by User

A User may cease using the Platform at any time. Termination by a User does not entitle the User to a refund of any Evaluation fee already paid, and does not accelerate or otherwise affect the Company’s obligations in respect of any pending Payout request made in accordance with Section 6.

### 14.2 Termination or Suspension by the Company

The Company may suspend or terminate a User’s access to the Platform, or any Account, at its discretion, without prior notice, including where: (a) the User violates these Terms or the Rulebook, including Section 9.3; (b) the User engages in fraudulent or illegal activity; (c) required by Applicable Law or a regulatory authority; or (d) the Company reasonably determines that continued access poses a risk to the security, integrity, or operation of the Platform.

### 14.3 Effect of Termination

Upon termination of a User’s access, all Accounts held by that User are deemed closed, any accrued but unpaid profit is forfeited to the extent the termination arises from a breach of these Terms or the Rulebook, and any pending Payout request may be cancelled. Sections 6.4, 9, 10, 11, 12, 15, and 17 shall survive termination.

## 15. GOVERNING LAW AND DISPUTE RESOLUTION

### 15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.

### 15.2 Informal Resolution

In the event of a dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of not less than thirty (30) days following written notice of the dispute.

### 15.3 Arbitration

If a dispute is not resolved through negotiation, it shall be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, conducted by a single arbitrator, seated in Wilmington, Delaware, and conducted in the English language. Judgment on the award rendered may be entered in any court of competent jurisdiction.

### 15.4 Class Action Waiver

The User agrees that any dispute shall be resolved on an individual basis and not as part of any class, collective, or representative action.

### 15.5 Provisional Relief

Nothing in this Section 15 limits either party’s right to seek provisional or injunctive relief from a court of competent jurisdiction pending the outcome of arbitration.

### 15.6 Jurisdiction for Non-Arbitrable Claims

Any claim not subject to arbitration under Applicable Law shall be submitted to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

## 16. INTELLECTUAL PROPERTY

The Company retains all intellectual property rights in and to the Platform, including its design, content, software, trademarks, and underlying technology. Subject to compliance with these Terms, the Company grants the User a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for participation in the Program. Users may not copy, modify, distribute, reverse-engineer, or create derivative works of the Platform. Feedback voluntarily submitted by a User regarding the Platform may be used by the Company without restriction or compensation.

## 17. MISCELLANEOUS PROVISIONS

### 17.1 Entire Agreement

These Terms, together with the Rulebook, constitute the entire agreement between the User and the Company regarding the Program and supersede all prior communications, representations, or agreements relating to its subject matter.

### 17.2 Assignment

The Company may assign or transfer its rights and obligations under these Terms without the User’s consent, including in connection with a merger, acquisition, or sale of assets. Users may not assign or transfer their rights under these Terms without the Company’s prior written consent.

### 17.3 Notices

Notices to the Company must be delivered in writing to the contact information published on the Platform. Notices to Users may be delivered via the User Interface, email, or account notifications, and Users are responsible for regularly checking these channels.

### 17.4 Force Majeure

The Company shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including natural disasters, acts of government, war, cyberattacks, and Third-Party Trading Venue outages.

### 17.5 No Partnership

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the User and the Company.

### 17.6 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

### 17.7 No Waiver

No failure or delay by the Company in exercising any right under these Terms shall operate as a waiver of that right.

### 17.8 Language

These Terms are drafted in the English language. If translated into another language, the English version shall prevail in the event of any conflict.

### 17.9 No Third-Party Beneficiaries

These Terms are for the sole benefit of the User and the Company. No third party shall have any right to enforce any provision of these Terms, except the Indemnified Parties with respect to Sections 11 and 12.

## 18. PRIVACY

The Company’s collection, use, disclosure, and retention of personal information in connection with the Platform, including information submitted for KYC purposes, is governed by the Fantasy Privacy Policy and incorporated into these Terms by reference. By accessing or using the Platform, the User acknowledges and consents to the data practices described in the Fantasy Privacy Policy.
